BCOMA General Meeting Notice
BC Original Minds Association, a non profit who sponsors Destination ImagiNation and First Lego League, is having a General Meeting on April 14, 2007 at 3:30 PM at RC Palmer Secondary, 8190 St Albans Road, Richmond to rescind the current bylaws and adopt the new bylaws.
Who can vote?
The Team Manager or Coach of a team which has paid their annual fee (tournament registration and membership fee) is eligible to a vote at general and special meetings for the BC Original Minds Association.
Voting must be done in person.
What is different in the bylaws
In the new document, the format is different. It is shorter, more to the point. All the procedural have been removed. Also, what is different is the following:
- An Executive Board in lieu of a Board and Executive Committee largely to overcome problems with appropriate quorum at General Meetings. ( Gaming Commission etc) . This will also make running the organization more efficient.
- Quorum has changed.
- The number of Board members is reduced.
- Duties of the Executive Board are described.
- The use of technology is permitted: internet and conference call.
- Proxy voting is permitted.
- Standing committees are named.
Motion #1
Be it resolved that the BC Original Minds Association rescind the current set of Society bylaws revised April 14, 2007.
Motion #2
Be it resolved that the BC Original Minds Association adopt a new set of bylaws dated April 14, 2007. A transition period will bring the structure described in the bylaws in place no later than December 31, 2007.
Rationale
The current bylaws, having been revised numerous times, are seriously flawed. They are poorly laid out, inconsistent and in some cases, contradictory.
- They do not reflect the current reality of the Society.
- They do not meet the Gaming Commission criteria for funding.
- They contain too much procedural language which is not appropriate in bylaws.
